Terms of Service
Effective Date: 11 September 2025
Company Name: QUERION PTE. LTD.(“QUERION”, “we”, “our”, “us”)
Customer: Refers to any entity or individual using our services (“you”, “your”).
- Scope of Services
QUERION provides the following services:
- AWS consolidated billing
- Discounted AWS pricing under our partner programs
- Cost optimization advisory
- Technical consultation (non-managed services)
- Support services (non-24/7 unless otherwise specified)
- No Warranties or Guarantees
All services are provided “as-is” and “as-available”. QUERION does not guarantee:
- AWS service uptime or performance
- Future eligibility of AWS credits, rebates, or incentives
- Compatibility or continuity of your workloads post-consultation
- Any AWS cost savings unless contractually committed
- Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, or consequential damages, including lost profits, revenue, or data.
- Our total liability under this agreement is limited to the amount paid by you to QUERION in the last 3 months preceding the event giving rise to the claim.
- You accept full responsibility for any AWS services, configurations, usage, or data hosted on AWS accounts under your ownership or provided by us.
- Customer Responsibilities
You are responsible for:
- Maintaining security of your AWS environments
- Monitoring your usage, cost, and resource configurations
- Applying recommended best practices provided by QUERION
- Timely payment of invoices and any AWS charges
- Using AWS services in compliance with applicable laws and AWS’s Acceptable Use Policy
- Billing, Deposits & Payments
- All billing is conducted via QUERION consolidated billing model.
- A security deposit of one month’s estimated AWS spend is required, refundable upon termination subject to outstanding balance clearance.
- Invoices are issued monthly and payable within [X] days.
- We reserve the right to suspend or terminate service for late payment or abuse.
- Data Access & Confidentiality
- We may access your AWS billing data and usage metrics solely for optimization, support, and reporting.
- Any sensitive customer data in your AWS accounts remains your responsibility.
- We do not store, manage, or process your application data.
- We will not share your information with third parties without your consent, except when required by law or AWS program audits.
- Termination
Either party may terminate the engagement with [30 days] written notice. Upon termination:
- You are responsible for all outstanding fees.
- Access to any QUERION services or AWS discounts will be revoked.
- Any AWS accounts under our organization will be removed or handed back.
QUERION reserves the right to terminate with immediate effect if you engage in abuse, fraud, non-payment, or illegal activity. - Intellectual Property
Any tools, templates, reports, or documentation created by QUERION remain the intellectual property of QUERION PTE. LTD.
You may use them internally but may not share, repurpose, or commercialize them without our written permission. - Support
Support is provided during business hours via ticketing system, email, or phone, unless otherwise agreed.
QUERION does not guarantee response or resolution times unless covered under a separate Support SLA. - Dispute Resolution & Jurisdiction
All disputes shall be first attempted to be resolved amicably. Failing that, disputes shall be governed by the laws of Malaysia (for QUERION Sdn. Bhd.) or Singapore (for QUERION PTE. LTD.) based on the invoicing entity. Venue shall be in the relevant local courts. - Changes to Terms
We reserve the right to update these Terms of Service at any time. Continued use of our services after changes indicates your acceptance. - Miscellaneous
- No partnership or agency is created between you and QUERION.
- Any waiver of rights must be in writing.
- If any part of these terms is found unenforceable, the remainder will remain in effect.
